中華人民共和國公司登記管理條例 登記管轄
（1994年6月24日中華人民共和國國務院令第156號發(fā)布，根據(jù)2005年12月18日《國務院關于修改〈中華人民共和國公司登記管理條例〉的決定》修訂）
第二章 登記管轄
第六條 國家工商行政管理總局負責下列公司的登記：
（一）國務院國有資產監(jiān)督管理機構履行出資人職責的公司以及該公司投資設立并持有50%以上股份的公司；
（二）外商投資的公司；
�。ㄈ┮勒辗�、行政法規(guī)或者國務院決定的規(guī)定，應當由國家工商行政管理總局登記的公司；
�。ㄋ模﹪夜ど绦姓芾砜偩忠�(guī)定應當由其登記的其他公司。
第七條 省、自治區(qū)、直轄市工商行政管理局負責本轄區(qū)內下列公司的登記：
�。ㄒ唬┦�、自治區(qū)、直轄市人民政府國有資產監(jiān)督管理機構履行出資人職責的公司以及該公司投資設立并持有50%以上股份的公司；
�。ǘ┦ ⒆灾螀^(qū)、直轄市工商行政管理局規(guī)定由其登記的自然人投資設立的公司；
（三）依照法律、行政法規(guī)或者國務院決定的規(guī)定，應當由省、自治區(qū)、直轄市工商行政管理局登記的公司；
�。ㄋ模﹪夜ど绦姓芾砜偩质跈嗟怯浀钠渌�。
第八條 設區(qū)的市（地區(qū)）工商行政管理局、縣工商行政管理局，以及直轄市的工商行政管理分局、設區(qū)的市工商行政管理局的區(qū)分局，負責本轄區(qū)內下列公司的登記：
�。ㄒ唬┍緱l例第六條和第七條所列公司以外的其他公司；
（二）國家工商行政管理總局和省、自治區(qū)、直轄市工商行政管理局授權登記的公司。
前款規(guī)定的具體登記管轄由省、自治區(qū)、直轄市工商行政管理局規(guī)定。但是，其中的股份有限公司由設區(qū)的市（地區(qū)）工商行政管理局負責登記。
