第十一章 外國公司的分支機(jī)構(gòu)
第一百九十二條 本法所稱外國公司是指依照外國法律在中國境外設(shè)立的公司。
第一百九十三條 外國公司在中國境內(nèi)設(shè)立分支機(jī)構(gòu)，必須向中國主管機(jī)關(guān)提出申請(qǐng)，并提交其公司章程、所屬國的公司登記證書等有關(guān)文件，經(jīng)批準(zhǔn)后，向公司登記機(jī)關(guān)依法辦理登記，領(lǐng)取營業(yè)執(zhí)照。
外國公司分支機(jī)構(gòu)的審批辦法由國務(wù)院另行規(guī)定。
第一百九十四條 外國公司在中國境內(nèi)設(shè)立分支機(jī)構(gòu)，必須在中國境內(nèi)指定負(fù)責(zé)該分支機(jī)構(gòu)的代表人或者代理人，并向該分支機(jī)構(gòu)撥付與其所從事的經(jīng)營活動(dòng)相適應(yīng)的資金。
對(duì)外國公司分支機(jī)構(gòu)的經(jīng)營資金需要規(guī)定最低限額的，由國務(wù)院另行規(guī)定。
第一百九十五條 外國公司的分支機(jī)構(gòu)應(yīng)當(dāng)在其名稱中標(biāo)明該外國公司的國籍及責(zé)任形式。
外國公司的分支機(jī)構(gòu)應(yīng)當(dāng)在本機(jī)構(gòu)中置備該外國公司章程。
第一百九十六條 外國公司在中國境內(nèi)設(shè)立的分支機(jī)構(gòu)不具有中國法人資格。
外國公司對(duì)其分支機(jī)構(gòu)在中國境內(nèi)進(jìn)行經(jīng)營活動(dòng)承擔(dān)民事責(zé)任。
第一百九十七條 經(jīng)批準(zhǔn)設(shè)立的外國公司分支機(jī)構(gòu)，在中國境內(nèi)從事業(yè)務(wù)活動(dòng)，必須遵守中國的法律，不得損害中國的社會(huì)公共利益，其合法權(quán)益受中國法律保護(hù)。
第一百九十八條 外國公司撤銷其在中國境內(nèi)的分支機(jī)構(gòu)時(shí)，必須依法清償債務(wù)，依照本法有關(guān)公司清算程序的規(guī)定進(jìn)行清算。未清償債務(wù)之前，不得將其分支機(jī)構(gòu)的財(cái)產(chǎn)移至中國境外
